These Terms of Service (the 'Terms') govern your access to and use of Seizn services, operated by Litheon LLC, a Wyoming limited liability company ('Seizn', 'we', 'us'). By creating an account or using the services, you agree to these Terms.

1. Services

Seizn provides:

  • Seizn Author (seizn.com) — an AI-powered memory tool for writers: canon extraction, conflict detection, scene simulation, and related features.
  • Seizn Engine (engine.seizn.com) — an SDK and API for game studios building NPCs with persistent memory.

Specific features and limits depend on your subscription plan.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction, whichever is greater. By creating an account you represent that you meet this requirement and that any information you provide is accurate.

You may not use Seizn if you are subject to US sanctions or are located in a country under comprehensive US embargo.

3. Account

You are responsible for safeguarding your credentials, for all activity under your account, and for keeping your contact information current. Notify [email protected] immediately of any unauthorized access.

4. Subscription, billing, and cancellation

4.1 Plans and pricing

Plans, prices, included tier limits, and metered overage rates are published at seizn.com/pricing. Pricing is in USD. Subscriptions renew automatically on the same cadence (monthly or yearly) until canceled.

4.2 Trial

A 30-day free trial is available without payment information. The trial ends automatically with no charge unless you choose to subscribe.

4.3 Metered overage

Tier limits include included Memories and Ops units per month. Usage above the limit is billed at the published per-unit overage rate. BYOK accounts have unlimited tokens at the model provider level (you pay the provider directly).

4.4 Refunds

Subscriptions are non-refundable for partial periods, except where required by law. You may cancel anytime; cancellation prevents the next renewal but does not refund the current period.

4.5 Taxes

Stripe collects applicable VAT, GST, and US sales tax automatically. You are responsible for any taxes not collected by the payment processor.

4.6 Price changes

We may change prices with at least 30 days' notice. Price changes apply at the next renewal.

5. Beta period

The service is currently offered as a beta. Some infrastructure components run under temporary personal ownership pending migration to Litheon LLC. Litheon LLC is the sole data controller throughout. See the Beta Disclaimer.

6. Acceptable use

You may not:

  • Use the service to create, store, or distribute content that is illegal, infringes third-party rights, depicts minors in sexual contexts, or facilitates real-world violence.
  • Reverse engineer, scrape, or attempt to extract source code or model weights.
  • Resell, white-label, or sublicense the service without a written agreement.
  • Bypass rate limits, plan limits, or security measures.
  • Impersonate other persons or entities.
  • Use the service in any manner that interferes with other users.

We may suspend or terminate accounts that violate these rules.

7. Your content and intellectual property

7.1 Ownership

You retain all intellectual property rights in the content you upload, generate, or store using Seizn. We do not claim ownership of your stories, worldbuilding, characters, or any derivative output you produce with the help of the service.

7.2 License to operate

To operate the service for you, you grant Seizn a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and create necessary technical copies of your content solely to provide the service to you. This license terminates when you delete the content.

7.3 Model training

We do not use your authorial content to train foundation models. We do not share your content with third parties for training purposes. Aggregated, fully anonymized usage statistics may be used to improve the service.

7.4 Feedback

If you provide feedback, suggestions, or feature requests, we may use them without obligation. You retain all rights to your underlying authorial work.

8. AI outputs

Seizn uses large language models to assist with extraction, conflict detection, and simulation. AI outputs are probabilistic and may contain inaccuracies, fabrications, or biases. You are responsible for reviewing AI outputs before relying on or publishing them. The audit log feature is provided to support that review workflow.

9. Third-party services

Seizn integrates with third-party services (Anthropic, Google, OpenAI, Notion, Stripe, etc.). When you connect or use these, the third party's terms and privacy policy apply to that interaction. We are not responsible for the availability or accuracy of third-party services.

10. Disclaimers

The service is provided 'as is' and 'as available'. We disclaim all warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the fullest extent permitted by law, Seizn's aggregate liability for any claim arising out of or relating to the service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data (beyond restoration from your most recent export), or business interruption.

This limitation does not apply where prohibited by law (e.g., gross negligence, willful misconduct, fraud).

12. Indemnification

You agree to defend, indemnify, and hold Seizn harmless from claims arising out of (a) your content, (b) your violation of these Terms, or (c) your violation of any third-party right. We will notify you of any such claim and let you control the defense, with our reasonable cooperation.

13. Termination

You may terminate your account anytime. We may suspend or terminate your access for material breach of these Terms after written notice and a reasonable cure period (except for severe breaches affecting other users or the integrity of the service, where suspension may be immediate).

Upon termination, your right to use the service ends. Your content remains available for export for 30 days, after which it may be permanently deleted unless legal retention applies.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, except that either party may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer in the European Economic Area or the United Kingdom, this clause does not deprive you of rights conferred by mandatory consumer protection law in your country of residence.

15. Changes to these Terms

We may update these Terms. Material changes will be announced by email and an in-app banner at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

16. General

  • Entire agreement: these Terms (together with the Privacy Policy and Beta Disclaimer) constitute the entire agreement.
  • Severability: if any provision is held unenforceable, the rest remains in effect.
  • No waiver: failure to enforce a provision does not waive future enforcement.
  • Assignment: you may not assign these Terms without our written consent. We may assign them in a merger, acquisition, or sale of substantially all assets.
